Item 5.03. Amendments to Articles of Incorporation or By-laws; change in Fiscal Year.
On May 12, 2006, Carters, Inc. (the Company) amended Article V of the Companys certificate of incorporation (the Certificate of Incorporation), which sets forth the number of shares of stock that the Company is presently authorized to issue. The amendment increased the number of authorized shares of the Companys common stock (the Common Stock) from 40,000,000 to 150,000,000. The amendment did not affect the number of authorized shares of the Companys preferred stock.
The first paragraph of Article V of the Certificate of Incorporation now reads as follows:
The total number of shares of all classes of stock that this corporation shall have authority to issue is 150,100,000 shares, consisting of (i) 150,000,000 shares of Common Stock, $.01 par value per share (Common Stock), and (ii) 100,000 shares of Preferred Stock, $.01 par value per share (Preferred Stock).
Item 8.01. Other Events.
On May 12, 2006, the Company issued a press release announcing a two-for-one stock split of all of its outstanding shares of Common Stock. The stock split will be effected by a stock dividend, payable on June 6, 2006 to stockholders of record as of May 23, 2006, of one share of Common Stock for each share of Common Stock outstanding.

CARTERS ANNOUNCES A TWO-FOR-ONE STOCK SPLIT
Atlanta, Georgia, May 12, 2006 / PRNewswire-FirstCall / Carters, Inc. (NYSE:CRI) - The Board of Directors of Carters, Inc. (Carters), the largest branded marketer in the United States of apparel exclusively for babies and young children, announced today that it has approved a two-for-one stock split of all of its outstanding shares of common stock. The stock split will be effected by a stock dividend, payable on June 6, 2006 to stockholders of record as of May 23, 2006, of one share of common stock for each share of common stock outstanding.
