Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 31, 2019, it was announced that Kevin D. Corning, Executive Vice President, International of Carter’s, Inc. (the “Company”), will be leaving the Company on March 1, 2019 as part of an expansion in the scope of responsibilities of other members of the Company’s leadership team.
